1. Membership: Once membership is obtained, then no purchase is necessary.

2. Eligibility: The Hot Contest is open to all members who are at least eighteen (18) or twenty-one (21) years old, depending on the laws of the state in which you reside, at the time old at the time of entry/registration and who have internet access during the duration of the Hot Contest Finals.All persons in the video or photo have to be eighteen (18) or twenty-one (21) years old, depending on the laws of the state in which you reside, at the time the video or photo is produced. By entering a submission in this contest, Participant's accept full legal responsibility under the laws of the United States for all material they submit and all members are subject to the laws of the United States, regardless of residency. ROX Entertainment, LLC assumes no liability for any and all member uploaded content and reserves the right, at its sole discretion, to delete uploads and accounts that do not abide by the laws of the United States and the Terms of Use of NakedWebTV. Employees (and their immediate families (parent, child, spouse or sibling and their respective spouses, regardless of where they reside) and those persons living in their same households, whether or not related) of ROX Entertainment, LLC, Prize Provider, and their respective parents, affiliates, subsidiaries, advertising and promotion agencies, and website providers/web masters are not eligible to enter or win. All applicable federal, state and local laws and regulations apply. Void where prohibited or restricted by law.

3. Contest info period: Between 12:01am, March 1, 2008 (3/1/08) and 11:59pm , November 30, 2008 ( 11 /30/08 ) all member uploads are automatically entered into the contest.

• On 11:59pm on November 30, 2008 (11/30/08 ), the Hot Contest Qualifiers will end. 

• At 12am , December 1, 2008 , the top 25 videos and top 15 photos (videos and photos with the highest user rating, most comments, and most visits) will be selected. 

• Between 12:01am , Dec ember 1, 2008 ( 12 /1/08 ) and 11:59pm , Dec ember 31, 2008 (12/31/08 ), members will vote on their favorite video and photo; the video and photo with highest vote count will be chosen as their respective winner. 

• The Red Hot Winner will be announced by January 31, 2009   

• Entries not meeting the subject matter criteria will not be considered. ROX Entertainment, LLC may choose to accept or reject your submissions based on the sole judgment of ROX Entertainment, LLC. If selected to receive the reward, you will be notified via email. ROX Entertainment, LLC 's computer is the official clock for the promotion.   

• All entries become the sole property of ROX Entertainment, LLC and will not be acknowledged or returned.  

4. Contest Submission:

a. Video and Photo Submission Requirements:

• The following file types are accepted for video entries: .x-ms-wmv; .avi; .mpeg.
  
  
• The following file types are accepted for photo entries: .pjep; .jpeg; .gif; .png; .x-ping; bmp.

• Videos must not exceed 100 mb in size.
  
  
• Videos must not exceed 10 minutes in length.
  
  
• Photos must not exceed 5 mb in size.
  
  
• All videos and photos must comply with all Content Restrictions listed in Section 5 below.

b. All Submissions become the exclusive property of ROX Entertainment, LLC, and no submissions will be acknowledged or returned. ROX Entertainment, LLC shall have the right to edit, adapt, and publish any or all of the Submissions, and may use them in any media without attribution or compensation to the contestant, his or her successors or assigns, or any other entity. ENTERING A SUBMISSION IN THIS CONTEST CONSTITUTES PARTICIPANT'S IRREVOCABLE ASSIGNMENT, CONVEYANCE, AND TRANSFERENCE TO ROX ENTERTAINMENT, LLC OF ALL RIGHT, TITLE, AND INTEREST IN THE SUBMISSION, INCLUDING, WITHOUT LIMITATION, ALL COPYRIGHTS. ROX Entertainment, LLC is not responsible for lost, late, incomplete, invalid, unintelligible, or misdirected entries which are void. In addition, by entering, Participants represent and warrant that the entries that they submit: do not infringe any other person's or entity's rights, have not been submitted previously in a contest of any kind, and that they have obtained permission from the people featured in the Submission to enter this Hot Contest. As agreed upon in the Terms of Use, members acknowledge that all uploaded content becomes the property of ROX Entertainment, LLC.

Limit: Multiple Participants are not permitted to share the same email address. Any attempt by any Participant to win more than one (1) Hot Contest at the same time by using multiple/different email addresses, identities, registrations, or any other methods will void all Submissions entered by that Participant and that Participant, at the sole discretion of ROX Entertainment, LLC, may be disqualified. Use of any automated system to participate is prohibited and will result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant or Participant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. The potential winners may be required to show proof of being the authorized account holder.

c. Finalists. Participants who's Submissions are in the top twenty-five most viewed videos or the top 15 most viewed photos will be the Hot Finalists for the Grand Prize ("Hot Finalists"). In the event of a tie, the Participant whose Submission is determined to be the most creative by the qualified judges chosen by the Sponsor shall be the Potential Finalist. NakedWebTV Hot Contest Winners, may have to submit further documentation if ROX Entertainment LLC deems it necessary for proper identification and verification purposes. Members who do not supply requested identification and verification with in ten days of the request issued by ROX Entertainment LLC will be disqualified from the Hot Contest and the Runner-Up will become the new Red Hot Winner.

5. Content Restrictions: The Submission must NOT contain:

• Material that violates or infringes another's rights, including but not limited to privacy, publicity or intellectual property rights;
  
  
• Images and/or artwork that that are copyrighted, trademarked, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material;
  
  
• Gratuitous violence;
  
  
• Dangerous stunts;
  
  
• Real weapons of any kind, including, but not limited to, guns, knives or projectiles;
  
  
• Drug use;
  
  
• Smoking;
  
  
• Material that is hateful, tortuous, defamatory, slanderous or libelous;
  
  
• Material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, age or any other basis protected by Federal, State, or Local Law, Ordinance, or Regulation; and
  
  
• Material that is unlawful, in violation of or contrary to the laws or regulations in any state where the Submission is created.

Failure of any Submission to comply with the above restrictions (collectively, the "Content Restrictions"), as determined by ROX Entertainment, LLC in its sole discretion, will result in disqualification.

6. Judging/requirements of contest winners: Video Grand will be chosen from the Hot 25, determined during the Hot Finals Month, based on the following criteria (the "Judging Criteria"): popularity via consumer five-star ratings and overall appeal in the submission. Photo will be chosen from the Hot 15, determined during the Hot Finals Month, based on the following criteria (the "Judging Criteria"): popularity via consumer five-star ratings and overall appeal in the submission. Qualified judges chosen by ROX Entertainment, LLC, whose decisions regarding the contest and related matters are final, will choose one (1) Grand Prize winner. In the event of a tie for the Grand Prize and/or Second Prize, the Submission that is determined to be the most creative by the qualified judges will win the prize. Each Potential Winner will be notified by email on or about October 31, 2009("Prize Notification"), and must provide by e-mail within 10 days of the date of the Prize Notification (the "Deadline"): (a) his/her full name, phone number and a mailing address ("Mailing Information") where ROX Entertainment, LLC can send the Prize; and (b) Affidavit of Eligibility and Liability and Publicity Release, where permitted, and if requested by ROX Entertainment, LLC (the "Affidavit"). The mailing address must be a street address (no P.O. boxes). If a Potential Winner fails to provide the Mailing Information and the Affidavit (if requested by ROX Entertainment, LLC) in response to the Prize Notification by the Deadline, or if a Potential Winner fails to comply with these rules, the prize will be forfeited and, at ROX Entertainment, LLC 's discretion, will be awarded to the Hot Finalist whose Submission is determined by the qualified judges to be the next most creative of the remaining Hot Finalists. Once ROX Entertainment, LLC receives a winner's Mailing Information and Affidavit, ROX Entertainment, LLC shall declare that selected Hot Finalist is the winner of the Grand as applicable (a "Red Hot Winner"). If a Prize Notification is returned as undeliverable or if a prize is returned, this will result in disqualification, and an alternate Red Hot Winner will be chosen from the remaining Hot Finalists whose Submission is determined by the qualified judges to be the next most qualifying of the remaining Hot Finalists. ROX Entertainment, LLC shall repeat the winner selection and notification procedures set forth in this Section 6 until a qualified Red Hot Winner has been selected. Red Hot Winners must comply with all contest rules as published. Red Hot Winners agree to conduct any and all media interviews related to the Hot Contest if requested and not to disparage ROX Entertainment, LLC or Prize Provider during such interviews. Failure to comply with this requirement for any reason will result in forfeiture of any prize, and the prize will be awarded to the Hot Finalist whose Submission is determined by the qualified judges to be the most creative of the Submissions. Acceptance of a prize shall constitute and signify the Red Hot Winner's agreement and consent that ROX Entertainment, LLC may use the winner's NakedWebTV's Member Name and/or prize information for contextual purposes worldwide, including the internet, without limitation and without further payment or consideration, except where prohibited by law.

7. Prizes: ONE (1) GRAND PRIZE: The Video Grand Prize Winner will receive $3,000 USD payable by check and have his or her winning video promoted on the NakedWebTV site. The Photo Grand Prize Winner will receive $1,500 USD payable by check and have his or her winning photo promoted on the NakedWebTV site. Winners are responsible for all federal, state and local taxes, if any, as well as any other costs and expenses associated with acceptance and use of a prize not specified herein as being awarded. Winners may not substitute, assign or transfer prizes, but ROX Entertainment, LLC reserves the right, at its sole discretion, to substitute prizes with one of comparable or greater value. All prize details are at ROX Entertainment, LLC 's discretion. Limit: One (1) prize per person per contest.

8. General Rules: By entering or participating in the Contest, Participants agree to be bound by these Official Rules. ROX Entertainment, LLC assumes no responsibility for electronic hardware, programming or software malfunctions, or failures, or line connections, accessibility or availability, or technical failures of any kind, or unauthorized human intervention, or the incorrect or inaccurate capture of any Submission or other information, or for the failure to capture any such information. ROX Entertainment, LLC is not responsible for: (1) any incorrect or inaccurate information, whether caused by Participants, or by any of the equipment or programming associated with or utilized in the Hot Contest; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Submission process or the Hot Contest; or (4) technical or human error which may occur in the administration of the Hot Contest or the processing of entries. Further, if for any reason the Hot Contest is not capable of running as planned by reason of infection by virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, or any other causes which, in the sole opinion of ROX Entertainment, LLC, may corrupt or effect the administration, security, fairness, integrity or proper conduct of this Contest, ROX Entertainment, LLC reserves the right, at its sole discretion, to cancel, terminate, modify or suspend the Hot Contest, and select the winner for the Hot Contest from the entries received prior to the action taken or in other such manner as deemed fair and appropriate by ROX Entertainment, LLC.

Participants, by participating in this Hot Contest, hereby waive and release, and agree to hold harmless, ROX Entertainment, LLC, Prize Provider, all contest and advertising agencies, and their respective parents, subsidiaries, affiliates, and distributors, and all of their respective officers, directors, employees, representatives and agents, from and against, any and all rights, claims and causes of action whatsoever that they may have, or which may arise, against any of them for any liability for any matter, cause or thing whatsoever, including but not limited to any injury, loss, damage, whether direct, compensatory, incidental or consequential, to person, including death and property, arising in whole or in part, directly or indirectly, from their acceptance, possession, use or misuse of the prize in the Hot Contest, or their participation in the Hot Contest, or their participation in any Hot Contest or prize related activity, or any travel related to the Hot Contest or any travel for any prize related activity. Winner also further acknowledges that ROX Entertainment, LLC, Prize Provider, all contest and advertising agencies, and their respective parents, subsidiaries, affiliates, and distributors, and all of their respective officers, directors, employees, representatives and agents, have neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, expressed or implied, in fact or in law relative to any prize or this Hot Contest including but not limited to quality, condition or fitness for a particular purpose. Except where prohibited, Participant agrees that any and all disputes, claims and causes of action arising out of or connected with this Hot Contest or any prize awarded shall be resolved under the laws of the State of California, without respect to any conflict of law issues, and Participant agrees that such shall be resolved individually, without resort to any form of class action, and exclusively by the Federal and State Courts of Orange County, California.

9. Personal Information: The personal information collected through the Contest is subject to ROX Entertainment, LLC 's privacy statement set forth at http://www.nakedwebtv.com/privacy_policy.php.

10. Rule/winner list requests: To obtain these rules or for notification of the winner, send a self-addressed stamped envelope to: "NakedWebTV Contest Official Rules/Winner List Request", c/o ROX Entertainment, LLC. Inc., 12534 Valley View Street #326 , Garden Grove , CA   92845-2006.

Requests for winner list must be received by February 28 , 2009 .
